Transposition of Shares: Changing the Order of Names

Transposition means changing the order in which joint holders' names appear on a folio — turning a holding registered as A and B into one registered as B and A. Because the same people continue to own the same shares, it is not a transfer and attracts no stamp duty.

Transposition is one of the more misunderstood requests we handle at ClaimMyFunds, and clients are frequently told stamp duty applies when it does not.

Confirm it is genuinely transposition

The same people must remain, in a different order. If anyone is being added or removed, it is a transfer or transmission instead — a completely different process.

Obtain the transposition request from your RTA

Some RTAs use Form ISR-4, others have their own transposition request. Ask which they want before filling anything in.

All holders sign

Every joint holder must sign, whatever their new position in the order.

Attach the original certificates

Transposition normally requires the original share certificates to be surrendered for endorsement or reissue.

Submit with KYC documents

PAN for every holder, plus address proof.

Follow up, then dematerialise

Once the order matches, the demat request that previously failed can be resubmitted.

Why These Get Rejected

Across the files we handle at ClaimMyFunds, almost every returned form fails for one of these reasons.

Frequently Asked Questions

Is stamp duty payable on transposition?

No. Stamp duty attaches to a transfer of ownership, and transposition does not transfer anything — the same people hold the same shares in a different order. If an RTA or intermediary tells you otherwise, ask them to identify the transfer.

Why would I need transposition at all?

Most often to dematerialise. A demat account is opened with a fixed name order, and if the physical folio has the names in the opposite order the demat request is rejected. Transposition aligns them.

How long does it take?

Commonly three to eight weeks, depending on the RTA. It is a relatively simple internal change once the paperwork is right.

What is the difference between transposition and transmission?

Transmission moves shares out of a deceased holder's name to a nominee or heir. Transposition simply reorders living joint holders. Different trigger, different form, different documents.

Can I transpose and dematerialise in one step?

Some RTAs and depository participants will accept a combined request, others insist the transposition completes first. Ask both your RTA and your DP before submitting, since doing it in the wrong order wastes a cycle.
